10.1 — Contracting party
This agreement is entered into with Holding Euthenia, a French simplified joint-stock company (société par actions simplifiée) with a share capital of EUR 1,000, registered with the French National Business Register under number 910 439 348, whose registered office is at 36 cours de Verdun Perrache, 69002 Lyon, France, hereinafter “the Company”. The Royal Sybaris platform is operated by Royal Sybaris LLC, 2125 Biscayne Blvd, Ste 204 #27492, Miami, FL 33137, United States.
10.2 — Advance consent to assignment
In accordance with article 1216 of the French Civil Code, the Professional hereby expressly consents in advance to the Company assigning this agreement, together with all receivables, guarantees and data attached to it, to any affiliate. An affiliate means any company which controls the Company, is controlled by it, or is under common control with it within the meaning of article L. 233-3 of the French Commercial Code, and in particular Royal Sybaris LLC.
The assignment takes effect vis-à-vis the Professional upon written notice sent to the email address of their account. It entails no change to the pricing, term or scope of the subscribed services, and requires no further consent.
10.3 — Release of the assignor
By way of derogation from article 1216-1 of the French Civil Code, the Professional expressly releases the Company from any obligation under the assigned agreement as from the effective date of the assignment. The assignee alone is bound to perform it from that date.
10.4 — Personal data
As from the effective date of the assignment, the assignee becomes the controller of the personal data attached to the agreement, for the same purposes and on the same terms. Where the assignee is established outside the European Union, the transfer is governed by the standard contractual clauses adopted by the European Commission, supplemented by additional measures where required. The Professional is informed by the notice provided for in article 10.2 and retains all rights set out in the privacy policy.
10.5 — Scope
